These terms and conditions (“Terms of Use”) are a contract between users (“you”) and BSP and apply to (i) the websites located at www.bspcredit.com and www.benefitstreetpartners.com; (ii) their content, and (iii) any other webpages owned and/or operated by us that link back to, or otherwise display, these Terms of Use, including any password-protected areas, as well as any webpages, channels, profiles or other pages maintained by BSP on third-party social media platforms, such as LinkedIn (each, a “Social Media Site” and collectively, the “Website”).

By using the Website, you agree to abide by these Terms of Use. If you do not agree to abide by these Terms of Use, your sole and exclusive remedy is to discontinue using the Website. Your compliance with these Terms of Use and any Other Agreements (as defined below) is a condition to your right to access the Website. User Communications and Unsolicited Submissions

You grant BSP and its affiliates a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully transferable, assignable and sublicensable right and license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, publicly display, publicly perform, sublicense, create derivative works from, transfer and sell such User Materials and to use your name and other identifying information in connection with such User Materials, in each case in any form, media, or technology now known or later developed.

To the extent any User Materials include Personal Information, BSP will handle such Personal Information in accordance with the Privacy Notice and applicable law. This section does not modify any confidentiality obligations that apply under an Other Agreement.

Intellectual Property

The Website and its Content are the exclusive property of and owned by BSP. The Website contains and is protected by intellectual property rights, including copyrights, trademarks, logos, and service marks (whether registered or not, and wherever in the world those rights may exist) owned by BSP or third parties that have licensed their materials or provided services to BSP. “Benefit Street Partners” is a registered trademark of BSP.
